About the role
We are looking for a new Legal Counsel to join our team.
Amber Bucharest is looking for a Legal Counsel to handle corporate & commercial legal issues in an international software business setting with operations in Europe, USA, Canada, and Latin America. The position will report to the General Counsel (Head of Legal).
The Quest:
- Minimum 3 years of experience, preferably both in a business law firm and in-house with a software or multinational company, with a focus on corporate, commercial, employment, compliance and data protection matters.
- Drafting, reviewing, negotiating a variety of commercial contracts, including services agreements, partner and vendor agreements, in an IT company environment.
- Preparing, reviewing and negotiating a wide variety of contractual documents, including NDAs, MSAs, SOWs; familiarity with contract management.
- Preparing corporate governance documents, including board and shareholders resolutions and other regular corporate documents, and handling Trade Registry formalities, including setting up corporate entities such as PFA and SRL (micro).
- Handling employment law matters, including employment agreements, disciplinary procedures, internal regulation, collective bargaining agreement, employment related fiscal aspects, employment related policies and procedures.
- Expertise in privacy law, including GDPR and data processing agreements.
- Doing legal research in various legal areas and preparing and updating company's policies and procedures from a regulatory & compliance perspective.
- Working as part of a team, liaising with different stakeholders, providing cross-functional advice to different departments and teams, and reporting to the head of department.
- Corporate - Manage corporate governance, filing Trade Registry applications and dealing with registration procedures, legal advice and support for the set-up of various corporate entities (SRL, PFA etc.).
- Contract Management – manage the internal contract processes and procedures, monitor the contract management process for the entire contract lifecycle, including potential collections procedures – from review/negotiations to conclusion and archiving, maintain and update contract databases and provide information and advice to internal stakeholders when needed.
- Employment – Handle employment law matters, including employment agreements, disciplinary procedures and measures, termination of employment procedures, internal regulation, collective bargaining agreement, employment related fiscal aspects, draft and/or revise internal employment policies and procedures.
- Data Protection – Develop and maintain a good level of expertise in privacy, personal data use and protection laws, and advise on and handle data privacy law matters, including with regard to GDPR and DPAs, data protection policies and procedures.
- Compliance - Provide support in the development of regulatory strategy, handle regulatory matters and develop compliance policies and procedures, offer ongoing assistance and advice on compliance and regulatory topics.
- Prepare, review and negotiate a wide variety of contracts, including software development, software licensing, distribution and publishing, services agreements, including MSAs, statements of work, NDAs, independent contractor and subcontractor agreements, supplier/vendor agreements, agency, sponsorship, etc.
- Research/analyze industry-specific regulations to assess impact on business and assist in preparation and implementation of compliance measures.
- Provide cross-functional legal support to the various departments and teams in the company.
- Support the management and operations teams with ongoing and special initiatives.
The Skills:
- Bachelor of Laws (LL.B.) / Juris Doctor (J.D.) from a top law school (international education and/or postgraduate academic degree a plus).
- Admitted to practice law in Bucharest, Romania (Bucharest Bar/fully qualified lawyer).
- English language proficiency, including legal verbiage.
- Excellent time management skills and ability to multitask and prioritize work in a fast-paced environment.
- Ability to work across different sectors and departments and report to senior management and staff.
- Strong analytical skills, independent thinking.
- Team player, result and detail oriented, problem solver, self-motivated.
- Excellent interpersonal skills and written and verbal communication skills.
- Ability to handle both routine and complex legal matters.
- Ability to effectively deliver sound and clear legal advice in a business setting.
- Proficiency in MS Office.
