As the Director of M&A Tax, you will support merger and acquisition activities. The Director of M&A Tax will join a growing team and be responsible for managing global M&A activity for the company. This person will be expected to work with key stakeholders in Corporate Development, Finance, Accounting, HR and Legal to drive M&A initiatives and ensure that all reporting, finance, legal, treasury, and accounting standards are met. The Director of M&A Tax will report to the Senior Director of Tax.
Responsibilities:
- Serves as the primary tax department point of contact within a cross-functional M&A team, focusing on the tax aspects of acquisitions, divestitures, investments, post-closing integration, and internal restructurings.
- Collaborate with and support global cross-functional teams in Business Development, Legal, Finance, Accounting, Treasury, and Tax
- Manage the tax aspects of due diligence, negotiation, contract review, structuring and post-close integration
- Analyze US international and foreign tax planning strategies to mitigate global tax risks and optimize efficiency with respect to offshore operations and structure
- Financial modeling of tax implications of transactional and structural planning alternatives
- Research complex tax issues and prepare tax technical memorandum and documentation
- Design and implement processes to execute integration and post-closing compliance
- Collaborate with internal tax team members on tax compliance and provision matters associated with acquisition, divestiture, and global tax planning including assistance for the preparation of US tax return filings, elections, statements, and disclosures.
- Coordinate with external advisors as needed
Requirements:
- Deep knowledge of domestic and international corporate tax laws, including an understanding of state and local tax matters
- Proven ability to work in a fast-paced, dynamic environment, handling multiple tasks and projects simultaneously
- Excellent research and analytical skills, including written and verbal communication skills
- Excellent organizational, project management, and interpersonal skills to represent Tax on projects of varying sizes and timelines
- Ability to work effectively with cross functional teams and meet targeted deadlines for project completion
- Ability to gather key information efficiently and consult with internal and external partners and advisors on technical matters
- 8+ years of relevant experience in M&A and US outbound taxation within a multinational corporation or at public accounting or law firms
- Master’s in Accounting/Tax, J.D
