Senior Legal Counsel

Role:
Amber Canada is looking for a Senior Legal Counsel to handle complex international commercial and technology related legal issues. Amber is headquartered in Bucharest and has operations in Europe, USA, Canada and Latin America, and is one of the world’s leading game development agencies, working with some of the largest names in interactive entertainment, such as Disney, Amazon, Epic Games, NBC Universal and many others. The position will report to the General Counsel (Head of Legal).
Experience:
5+ years of experience, preferably both at a top business law firm and in-house with a software international company, dealing with diverse multinational issues, with a focus on business and technology transactions that included:
- drafting, negotiating, reviewing commercial contracts and technology transactions, including software development, licensing, distribution, publishing, marketing, services agreements, independent contractor and subcontractor agreements, supplier/vendor agreements
- preparing, reviewing and negotiating a wide variety of contractual structures, such as Work For Hire Agreements, Master Services Agreements, Statements of Work, Non-Disclosure Agreements, Invention and IP Rights Assignments, Term Sheets
- handling international business transactions, including M&A deals, joint ventures, partnerships, strategic alliances, inter-company arrangements
- handling IP related transactions and assistance with protection of IP rights, including trademark portfolio, trademark prosecution, copyright, know-how, cease and desist letters
- expertise in privacy, data use and protection laws, including experience working with GDPR and drafting, reviewing and negotiating data processing agreements, and prepare and implement data protection policies and procedures
- preparing and updating company's policies and procedures from a regulatory & compliance perspective, and providing legal advice on various regulations, including employment law, taxation, non-profit, corporate governance
- working as part of a team, liaising with different stakeholders, providing cross-functional support to different departments and teams
- counseling experience in an international business environment, operating in the national law environments of various countries, with a broad legal knowledge across different legal areas
Professional Requirements:
Bachelor of Laws (LL.B.) / Juris Doctor (J.D.) from an accredited law school
Admitted to practice law in Quebec, Canada
Skills:
- English and French language proficiency, including legal verbiage
- Excellent time management skills and ability to multi-task and prioritize work and to handle both routine and complex legal matters
- Ability to effectively deliver sound and clear legal advice in a business setting and to non-legal persons
- Ability to work across different sectors, departments and teams
- High degree of professional ethics and integrity and strong analytical, judgment and decision making skills
- Team player, able to work independently and/or with little supervision, result and detail oriented
- Proficiency in MS Office
