We are seeking a Legal Operations Specialist to join our rapidly growing company. The Legal Operations Specialist will provide support for a wide range of legal matters, including corporate organization compliance, mergers and acquisitions, contract review, litigation, and will lead the implementation of Ironclad. The successful candidate will have a strong understanding of legal principles and practices, as well as experience working in a corporate environment.
What You'll Be Doing:
- Provide support for corporate organization compliance, including drafting and maintaining corporate records, and preparing regulatory filings and disclosures
- Assist in the preparation and review of merger and acquisition agreements, due diligence materials, transactional documents, and coordinate with internal and external stakeholders as needed
- Review and negotiate a wide range of commercial contracts, including vendor agreements, confidentiality agreements, software licensing agreements, and provide guidance to internal stakeholders on legal issues and risks
- Assist in the management of litigation and other legal proceedings, including responding to subpoenas and discovery requests, coordinating with outside counsel, and managing document collection and review processes
- Conduct legal research and analysis, and prepare memoranda and other legal documents to support internal stakeholders on legal issues and risks
- Manage and maintain legal files and databases, and provide training and support to other members of the legal team on legal processes and tools
- Stay up-to-date on legal developments and best practices in corporate law, and provide guidance and support to internal stakeholders on legal issues and risks
- Implement Ironclad as the contract management system
What We're Looking For:
- Bachelor's degree and paralegal certificate or equivalent required; additional education in legal studies or related field preferred
- Minimum of 5 years of experience as a paralegal in a corporate setting, with experience in corporate governance, mergers and acquisitions, and contract review
- Strong understanding of legal principles and practices, with experience conducting legal research and analysis and drafting legal documents
- Experience with contract review and negotiation, with the ability to identify legal issues and risks and provide guidance to internal stakeholders
- Excellent written and verbal communication skills, with the ability to communicate effectively with internal stakeholders and external parties
- Strong attention to detail and commitment to accuracy, with the ability to manage multiple priorities and meet deadlines in a fast-paced corporate environment
- Ability to work independently and as part of a team, with a focus on collaboration and problem-solving
- Proficiency in Microsoft Office, G-Suite and legal research tools
