Senior Corporate Paralegal

The Senior Paralegal with contract administration experience is primarily responsible for assisting our in-house legal team with a wide variety of projects including preparation of legal documents, review of contracts and corporate documents, legal research, and revision of policies to achieve legal compliance.

JOB RESPONSIBILITIES:

● Maintain company and department policies, forms, and guidelines

● Prepare and perform an initial review of various contracts including Mutual Non-Disclosure Agreements, Master Services Agreements, Statements of Work, Advertising Insertion Orders, License Agreements, Terms of Service, Contract Amendments, Termination Agreements, Consents and Releases, and various other agreements

● Prepare and perform an initial review of the legal copy for marketing and promotional events

● Maintain and update the company’s standard contract templates and legal forms

● Create and maintain new standard contract templates to assist as we scale in scope and size

● Search and report on intellectual property issues and trademark registrations for domestic and international games

● Assist with internal procedures for engaging outside counsel and assemble and organize work product and reports in consultation with outside counsel

● Manage internal requests for takedown notices upon discovery of infringed company material

● Responsible for all contract retention and administration; maintain all legal files and corporate documents

● Route all legal contracts for approval to appropriate parties

● Develop and maintain contacts database which captures all fully executed company agreements

● Create and maintain contract summaries to be shared across departments

● Maintain on-going status report on contract requests and other legal matters

● Coordinate with Nexon affiliates, leading the migration of manual file management system to automated CMS

● Responsible for compliance matters in order to reduce risk and liability, including but not limited to vendor bidding processes, font and other IP licensing, proper authorization on contract expenses, proper review, and execution of contracts

● On-going research and summary of new findings in contract and IP law

● Perform other day-to-day business and legal affairs-related tasks as assigned by the Director of Business & Legal Affairs and Associate Legal Counsel


JOB QUALIFICATIONS AND SKILLS/KNOWLEDGE:

● 4+ years of paralegal and contract administration experience with a specialty in contract law (law firm experience a plus)

● Experience with commercial contract review and form development and maintenance

● Experience with developing and maintaining complex contracts database and systems

● Expertise assisting in intellectual property, advertising, and marketing law

● Entertainment law exposure and experience a plus

● Active paralegal certificate

● Knowledge of contract laws and legal codes, along with administrative and clerical procedures and systems

● Knowledge of the implementation of legal file management and systems

SKILLS:

● Strong attention to detail and problem solving within deadlines

● Exposure to a range of compliance issues and contracts, regulations and industry standards with a focus on commercial contracts, privacy, data security, and consumer protection

● Ability to communicate effectively with executives, internal clients, outside counsel, and external partners

● Ability to tailor communications to the audience

● Sound business judgment and deep understanding of general business concepts

● Ability to think outside the confines of the particular problem presented in order to achieve the desired result

● Superior organizational and time management skills

● Ability to handle multiple assignments simultaneously with demonstrated ability to set priorities, work under pressure to meet time deadlines, and work independently without constant supervision

● Proficient in Microsoft Office (Word and Excel required)

● Adaptability to working in a fast-paced, constantly changing environment
