Main Responsibilities:
- Lead complex commercial transactions involving all aspects of digital advertising and related data privacy issues, including advertising network agreements, demand-side agreements, supply-side agreements, attribution agreements, ad server agreements, and data processing addenda
- Draft and negotiate major strategic agreements supporting Zynga’s advertising business in coordination with various internal stakeholders in the legal department and throughout Zynga’s organization
- Support business development, product development, privacy compliance, advertising, marketing, e-commerce, IT and network operations, general procurement, and other commercial functions
- Structure, draft and negotiate a wide variety of procurement agreements, licenses, distribution agreements, promotional agreements, product development agreements, and other commercial agreements
- Provide advice and counseling on a wide range of legal topics, including intellectual property, compliance, risk management, partner relations, and global data protection and privacy issues
- Develop, draft, and implement standardized contract templates and processes
- Oversee outside counsel
- Support commercial due diligence in corporate transactions
- Provide guidance and support to your colleagues in the legal department
- Coordinate closely with accounting, procurement, cybersecurity, and other business partners
Desired Skills and Experience:
- You will have a minimum of 7+ years of relevant experience in a law firm and/or corporate law department, preferably working with technology and media companies and/or US-based public companies
- Deep knowledge of advertising technology and related data privacy issues
- Experience and working knowledge of SaaS products, intellectual property laws, procurement, and cross-border contractual issues
- Attitude that no job is too big or too small and a sense of humor
- You have pride of ownership in your work
- Adept at working in a fast-paced environment with forward-thinking and creative people
- You have a keen business sense and good judgment
- Excellent contract drafting skills and ability to come up with creative legal solutions to complex and novel issues
- You will have the ability to strike a sensible and practical balance between legal risks and business objectives
- Strong organizational and project management skills
- Excellent communication skills to effectively work with various departments and levels within Zynga as well as external business partners
- Membership with at least one state bar
