LEGAL COUNSEL

Miniclip is looking for a Legal Counsel to join the team in our London (UK) Office. This is a full-time position, please apply only if you have the right to work in the UK.

Reporting to the Senior Legal Counsel, the Corporate Counsel lawyer will be responsible for a broad corporate role in a well-regarded legal team. You would be responsible for assisting on mergers and acquisitions and other transactional work covering multiple jurisdictions. While the role will predominantly concentrate on corporate and M&A work, there will be an opportunity to work on broader commercial matters, in line with group business needs.

You will be an English-law qualified commercial lawyer with 1 to 2 years’ post-qualification experience.

The work of the legal team is diverse; the team advises all business units on contractual and regulatory issues. Our work covers corporate, commercial, compliance, intellectual property and data protection issues, amongst others. Additionally, the team supports the work of the HR, advertising, and finance functions. In addition to corporate work, your work will encompass giving advice on general commercial matters.

Responsibilities

Corporate

  • Assisting on global M&A transactions.
  • Managing the legal due diligence process and coordinating workstreams with other diligence areas and relevant stakeholders.
  • Drafting board minutes and other ancillary documentation.
  • Ensuring a seamless integration of new business acquisitions into the broader group.
  • Corporate governance.
  • Legal and regulatory risk management.
  • Commercial/Group Work.
  • Drafting and negotiating a range of contracts with third parties, including game license, mobile publishing, advertising, and user acquisition agreements.
  • Providing contractual support to various teams across the business, such as reviewing employment and facilities contracts.

Who We’re Looking For

This role will be ideal for a junior corporate lawyer looking to branch out, in-house, into a more business-focused role in a fast-moving and dynamic games company.

Skills & Experience

The following skills or experience are required:

  • 1 to 2 years’ PQE qualified as a solicitor in a top tier private practice law firm.
  • Good working knowledge and understanding of corporate/M&A and other transactional work.
  • Strong drafting skills.
  • Strong organisational skills.
  • Excellent communication and interpersonal skills.
  • Can work on own initiative.
  • Can juggle conflicting demands and effectively prioritise .
  • A team-player who is driven, proactive, agile and forward-thinking, with commercial acumen.
  • An interest in the mobile and gaming industry and keen to learn more about it.
