Who We’re Looking For
Skillz is looking for a Paralegal (Corporate Governance & Securities) to provide thoughtful and efficient public company and equity administration support at a company that is changing the world of digital entertainment. As an integral member of the legal department, you will work cross-functionally to play a central role in guiding Skillz on a variety of domestic and global legal matters as we continue to scale at record pace. This role will report to the Senior Counsel, Corporate & Securities and requires a strong understanding of key responsibilities of a Corporate Secretary team.
What You Will Do
- Execute daily administrative functions of the Corporate Secretary team
- Manage inquiries related to equity compensation and administration, and other stockholder relations matters
- Assist in preparation of periodic and current SEC filings as well as materials for board and committee meetings
- Maintain public company minute books and board records, director and officer incentive equity information
- Manage maintenance of shares pursuant to registration statements including drafting of instruction letters to stock transfer agent and communicating with various state and local agencies
- Build collaborative relationships with members of Skillz’s HR, procurement, finance and accounting organizations, providing legal advice that supports accurate and speedy decision making and mitigates risk
- Position may also include some corporate paralegal responsibilities including non-disclosure agreements, assisting with forming new legal entities and state and local filings for various entities; maintaining corporate resolutions and records including corporate officers, organizational chart, corporate profile; etc.
Your Skillz
- 10+ years of corporate paralegal experience, including at least 5 years at a public company serving the Corporate Secretary team
- Track record of a practical business and solution-oriented approach to resolving issues
- Proven ability to develop collaborative relationships with internal partners, excellent interpersonal, communication, analytical and influencing skills, with a strong emphasis on the ability to articulate complex legal issues in a clear and actionable way
- Experience with Workiva and/or Fidelity Plan Sponsor Webstation a plus
