Corporate Counsel

Job Description:
As Corporate Counsel at Magic Leap, you will work on a broad range of corporate related issues, including negotiating and drafting documents for financing transactions, advising on corporate governance, spearheading compliance programs, overseeing corporate filings, managing corporate record keeping processes, assisting on employment and litigation matters, and supporting investor relations.
Responsibilities:
- Review, draft, and negotiate documentation for a variety of transactions, including services and consulting agreements, real estate leases, venture financing agreements, M&A transactions, licensing agreements, software and hardware agreements, and other agreements related to Magic Leap’s platform and business.
- Assist and advise on matters of corporate governance, corporate structure, equity plan management, and compliance, ensure appropriate maintenance of corporate records for Magic Leap and its subsidiaries (domestic and international).
- Assist on employment and litigation matters.
- Respond to legal requests from all parts of the company.
- Create, implement, and maintain internal legal policies, strategy, and procedures.
- Draft, implement, and oversee internal company policies, strategies and procedures.
Qualifications:
- At least 6 years of legal experience working in the corporate group of an AM Law 100 law firm and/or in-house as an attorney providing guidance on corporate related issues.
- Strong willingness to learn and become skilled in areas where you may not be as experienced.
- Ability to translate legal advice into actionable guidance.
- Ability to work under pressure, prioritize and manage a diverse workload, and meet deadlines within a dynamic, fast-paced environment.
- A high level of professionalism, outstanding business judgment, and superior legal analytical skills.
- Familiarity with corporate and securities law.
- Enthusiasm for/early adoption of new technologies.
Education:
- J.D. from an American Bar Association-accredited law school, membership in at least one recognized bar, and in good standing or otherwise authorized to practice law in-house.
